1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of orlian.ai and its pages (the "Website"), operated by Focaloid Technologies Private Limited ("Orlian", "we", "us", "our"). By accessing or using the Website, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Website.

2. About the Website

The Website provides information about Orlian, an AI-driven software delivery platform built by Focaloid that runs the software lifecycle, from requirement to production, through specialist AI agents with human approval at each hand-off. It also lets you contact us and book a demo.

Content on the Website, including descriptions of features, workflows, cost and time savings, and outcomes, is for general information only. It is not an offer, a guarantee of results, or professional advice. Figures such as "up to 90% less project cost" reflect results from specific engagements; actual results depend on each project's scope and context.

Access to and use of the Orlian platform itself is governed by a separate written agreement between Orlian and the client. Where that agreement conflicts with these Terms, the agreement prevails.

3. Binding Agreement

These Terms form a binding agreement between you and Orlian. If you use the Website on behalf of an organisation, you confirm that you are authorised to accept these Terms for it. We may update these Terms at any time by posting a revised version with a new "Last updated" date. Continued use of the Website after an update means you accept the revised Terms.

4. Acceptable Use

You agree to use the Website only for lawful purposes. You must not:

  • use the Website in any way that breaches applicable laws or regulations;
  • upload, post or share content that is unlawful, infringing, defamatory, harmful or that threatens the security of India;
  • attempt to gain unauthorised access to the Website, its servers, or any connected system or network;
  • introduce viruses, malware or other harmful code;
  • scrape, crawl, harvest or copy content or data from the Website by automated means without our written permission, including to train AI or machine learning models;
  • reverse engineer, copy or imitate the Website's design, interactive features or content;
  • interfere with or disrupt the Website's operation, security or performance;
  • submit false, misleading or unlawful information through our forms, or impersonate any person or organisation.

5. Access and Termination

We may change, suspend or discontinue any part of the Website at any time without notice. We may restrict or end your access at any time, with or without notice or reason, including if we believe you have breached these Terms. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnity and governing law, will survive.

6. Intellectual Property

The Website and all its content, including text, graphics, the 3D campus experience, animations, logos, the Orlian name and marks, product names, software and design, are owned by or licensed to Orlian and Focaloid and are protected by intellectual property laws.

You may view and print pages for your own internal, non-commercial use, provided you keep all copyright and proprietary notices. You may not reproduce, modify, distribute, publish or create derivative works from any content without our prior written consent. Nothing in these Terms grants you a licence to use our trademarks.

If you send us feedback or ideas, we may use them without obligation to you.

7. Disclaimer

The Website and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Website will be uninterrupted, error-free or free of harmful components. Any reliance you place on Website content is at your own risk.

8. Third-Party Links

The Website may contain links to third-party websites and services, such as GitHub, Jira or social media platforms. These are provided for convenience only. We do not control and are not responsible for their content, policies or practices, and a link does not mean we endorse them.

9. Limitation of Liability

To the fullest extent permitted by law, Orlian, Focaloid and their directors, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or business opportunity, arising from your use of or inability to use the Website. Our total liability for any claim relating to the Website is limited to INR 10,000 (Indian Rupees Ten Thousand only) or the amount you paid us, if any, for the relevant service, whichever is lower. Nothing in these Terms limits liability that cannot be limited by law.

10. Indemnity

You agree to indemnify and hold harmless Orlian, Focaloid and their directors, employees and partners from any claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising from your use or misuse of the Website, your breach of these Terms, your violation of any third-party rights, or any content you submit to us. This obligation survives termination of your access.

11. Governing Law

These Terms are governed by and construed under the laws of India. Any dispute arising from or relating to these Terms or the Website is subject to the exclusive jurisdiction of the courts of Ernakulam, Kerala.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions stay in effect. Our failure to enforce any right is not a waiver of it.
